Terms of Service

These terms form a binding electronic agreement between you and the operator of SMeta when you create an account or use the SMeta software, API or integrations.

1. Electronic agreement

By ticking the acceptance box and creating an account, signing in with a third-party identity provider and accepting these terms, or using the API, you agree to these terms. This agreement is concluded electronically in accordance with UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services. We record your account identifier, the time of acceptance, the network address of the request and the version and SHA-256 hash of the terms you accepted.

If you accept on behalf of a business, you confirm that you are authorised to bind it. The English version of these terms governs if a translation differs.

2. What SMeta is

SMeta is a non-custodial invoicing engine and bookkeeping software. It lets a merchant create invoices, assigns each payment attempt a unique exact amount, passively observes the public TRON blockchain for matching USDT (TRC20) transfers to the merchant's own public receiving address, and produces ledger records, signed webhook notifications and exports.

SMeta is a software technology provider and open bookkeeping protocol. SMeta does not provide financial services, money transmission, virtual asset custody, or currency exchange services. All transactions facilitated by the software occur directly peer-to-peer on the public blockchain between payer and payee. SMeta never takes possession of, controls, or holds private keys to user virtual assets. Users are solely responsible for compliance with their applicable domestic tax, AML, and regulatory obligations.

3. Your account

You must provide accurate information, keep your password, session and API keys confidential, and tell us promptly about any unauthorised use. You are responsible for activity performed with your credentials.

You may register only public receiving addresses of wallets that you or your business control. SMeta will never ask for a seed phrase, recovery phrase or private key. Never share them with anyone claiming to represent SMeta.

4. Your legal and tax responsibilities

You are solely responsible for determining and meeting the licensing, tax, accounting, consumer protection, anti-money-laundering, counter-terrorist-financing, sanctions and currency rules that apply to your business, your customers and your use of virtual assets in every jurisdiction where you operate.

SMeta does not provide legal, tax, accounting or investment advice. Nothing in the software, these terms or our marketing states or implies that any activity is exempt from tax, licensing or regulatory authorisation. A non-custodial design, zero platform markup or a UAE free zone location does not by itself establish any exemption.

5. Prohibited uses

You must not use SMeta, directly or indirectly, for: (a) evading or facilitating the evasion of sanctions administered by the United Nations, the United Arab Emirates or any other applicable authority, or dealing with sanctioned persons or jurisdictions; (b) procuring or selling illicit goods or services, including through darknet markets; (c) unlicensed money transmission, remittance, exchange, payment processing or other regulated financial activity carried out by you; (d) money laundering, terrorist financing, fraud, ransomware, scams or proceeds of crime; (e) any content or trade that is unlawful where you or your customers are located.

You must not misrepresent SMeta as a bank, payment institution, custodian or virtual asset service provider, or describe payments recorded by SMeta as guaranteed, insured or reversible.

If we reasonably suspect a breach, we may block your account, disable all of your invoice links and active payment attempts, preserve records and, where the law requires or permits, report to competent authorities. Blockchain monitoring of registered addresses may continue for investigation and record-keeping. Report suspected abuse to the abuse contact published on the Legal page.

6. Blockchain transfers

Transfers are made by the payer from their own wallet directly to your wallet. SMeta never receives, holds, routes, splits, converts or returns funds and cannot reverse, freeze, recover or refund a transfer.

Recorded payments rely on public blockchain data supplied by third-party node providers. Detection can be delayed or interrupted. An invoice is marked confirmed only when the software verifies a successful on-chain transfer of the exact amount; late, reused-amount or ambiguous transfers require your review. You remain responsible for deciding whether to fulfil an order.

Network fees, wallet-provider charges and exchange fees are charged by third parties and are not removed or covered by SMeta. Token issuers such as Tether can freeze addresses independently of SMeta.

7. Fees

SMeta does not take a percentage, commission or markup from any transfer between your customers and you. Any software subscription or usage fees are shown before you agree to them and are billed separately from customer transfers.

8. API, webhooks and integrations

Keep API keys and webhook signing secrets on your servers. Verify every webhook signature and confirm invoice status with a server-side request before fulfilling an order. Rate limits apply.

Integration packages, plugins and code examples are provided as previews or examples unless stated otherwise. You are responsible for testing them in your own environment before production use.

9. Data and privacy

Our handling of personal data is described in the Privacy Policy, which forms part of these terms. Where you enter your customers' details into SMeta, you are responsible for having a lawful basis and giving them the required notices.

10. Disclaimers and limitation of liability

The software is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose, and do not guarantee uninterrupted availability, error-free blockchain data or timely detection.

To the maximum extent permitted by law, we are not liable for indirect or consequential losses, lost profits, lost virtual assets, transfers sent to wrong addresses or amounts, third-party network or provider failures, or decisions you make based on recorded data. Our total liability for any claim is limited to the software fees you paid to us in the three months before the event giving rise to the claim.

You will indemnify us against claims arising from your business, your customers, your breach of these terms or your breach of applicable law.

11. Suspension and termination

You may stop using SMeta at any time. We may suspend or terminate access for breach of these terms, legal or regulatory requirement, or risk to the platform or other users. We may retain records for the periods described in the Privacy Policy or required by law.

12. Changes to these terms

We may update these terms. Each version has a date and a SHA-256 hash. When a new version takes effect, you must accept it before continuing to use the dashboard. Continued API use after the effective date also constitutes acceptance.

13. Governing law

These terms are governed by the laws of the United Arab Emirates as applicable in the emirate and free zone in which the operator of SMeta is licensed, and the competent courts of that jurisdiction have exclusive jurisdiction, unless mandatory law provides otherwise.
